Service Performance
Services are delivered in accordance with the milestones outlined in the Agreement. We apply professional judgment and commercially reasonable efforts in performing our work.
Timelines may depend on timely client input and external factors.
Proposals and Validity
Proposals remain valid for thirty (30) days unless otherwise specified. If not accepted within that timeframe, we may revise pricing or scope before resubmitting.
Fees and Expenses
Unless otherwise stated:
- Third-party costs are billed separately.
- Approved expenses may be charged at cost.
- Clients are responsible for applicable taxes related to services.
Payment Terms
Invoices are due within five (5) days of issuance unless agreed otherwise in writing. Milestone-based payment schedules may apply as specified in the Agreement.
Failure to pay on time may result in suspension of services.
Scope Modifications
All changes to project scope must be requested in writing.
Minor changes that do not significantly affect cost or timeline may be accommodated within the current Agreement. Significant changes require a supplemental written agreement.
Revised proposals remain open for acceptance for fourteen (14) working days.
Delays and Extensions
If project delays arise due to incomplete client materials or delayed approvals, timelines may be extended accordingly.
If delays occur on our side, we will communicate promptly and seek a practical solution.
Events beyond reasonable control, including unforeseen technical or external disruptions, are not considered breaches and may extend delivery timelines.
Review and Approval
We perform internal testing before submitting Deliverables.
Clients have seven (7) working days to review submitted work and provide feedback. Reasonable revisions will be addressed within an agreed timeframe.
Client Duties
Clients agree to provide lawful and accurate materials and ensure they hold rights to supplied content.
Unless otherwise agreed, clients are responsible for final proofreading and timely approvals.
Attribution and Portfolio
Unless restricted in writing, gistalents.com may include a discreet accreditation reference within completed work.
We may also display completed projects in our portfolio. Neither party should unreasonably prevent factual references.
Confidential Information
Both parties agree to keep non-public information confidential. Confidential information does not include publicly available or lawfully obtained data.
Independent Status
Gistalents.com operates as an independent contractor. Nothing in these Terms creates a partnership, employment relationship, or exclusivity unless expressly agreed.
We may engage subcontractors while remaining responsible for service delivery.
Limitation of Liability
Services are provided “as is” to the extent permitted by applicable law.
Our liability for any claim related to services is limited to the amount paid for the relevant services giving rise to the claim.
Intellectual Property Rights
Upon full payment, clients receive a non-exclusive, perpetual, worldwide license to use Final Deliverables as agreed.
Company Tools and reusable frameworks remain our property unless transferred in writing. Unauthorized modification or redistribution beyond agreed use may be restricted.
Support and Maintenance
Support services are provided only if separately agreed and may incur additional fees.
Any warranty becomes void if Deliverables are altered by third parties without authorization.
Changes to These Terms
We may update these Terms and Conditions periodically. The current version published on gistalents.com governs ongoing use. Continued use of the website or services indicates acceptance of updates.
